NEW YORK – The former chief executive of American International Group Inc, Maurice “Hank” Greenberg,
reached a deal to sell most of the shares he holds in the insurer to a unit of Swiss bank UBS.
Greenberg’s investment vehicle, Starr International Co, entered into a so-called variable prepaid forward-sale
agreement with UBS Securities LLC last week under which it will pocket $278.2 million upfront, according to
a filing late Friday with the U.S. Securities and Exchange Commission.In exchange, Starr will deliver a total of
10 million shares in four transactions of 2.5 million shares each
. The first delivery is due in just under three
years from now, with the remaining deliveries in each of the three months immediately after that.
The U.S. Internal Revenue Service said on its website that the up-front cash payments in such deals
typically represent 75 to 85 percent of a stock’s current fair market value.The proceeds of the deal with UBS
effectively come to $27.82 per share, a 20 percent discount compared with AIG’s closing price on Friday of $34.80.
The structure is designed to shield the seller from volatility in the price of a stock.
In these deals, if the price of a company’s stock falls during the period of the contract, the investment bank
absorbs the loss. If it rises, the seller pockets the gains.
According to the filing, Starr is protected against shares falling below a floor price of $31.22. It will be eligible for
extra cash if shares go up to a cap price of $46.83, beyond which UBS would receive the gain.Greenberg currently
owns about 14 million shares, or 10.4 percent of the company, according to Thomson Reuters data.

社長を主語にこの契約を要約すれば、
10,000,000株の売り、3年契約で4回にわたって2,500,000株ずつ拠出する。
Upfrontが278.2milの受取(売却価格27.82ドル換算)
31.22のFloorと46.83のCapで、後は時価で売却。
社長は14,000,000株持っている10.4%相当の株主。
現値は34.80.
さて、すると、将来、株を時価で売却は良いとしても、31.22のPutと46.83のCallがバランスするのか?という疑問なのである。
現値を100%として考えれば、90% Putを手に入れて、135% Callを売る。

より、今から3年にわたって、25%ずつ、現在から3年後まで、毎年1回、合計4回ということになろうかと想像する。
その場合、10% OutのPutと35% OutのCallではバランスしないのではないかという疑問が読者の頭に浮かぶだろう。

期間は、34.5~37.5ヶ月に渡って、一ヶ月毎に計4回で、VWAP-Guranteeで売却する。つまり、オプションは”全て”
3年のオプション
で、4回×2(Put/Call)で、8つ、ついているということになる。
3年もあれば、配当ZeroのAIG株のForwardは金利で上昇し、Put/Callの価格はバランスするので、それほどの
不自然さは無くなってくる。また最後のPayoffは、受渡する株数で調整されている。
現在の値段34.8の20%Discountである27.82でUpfrontを手に入れていると強調しているが、これは、いわゆ
る株式のブロック売却によるDiscountとは意味が全く異なり
、この記事は完全なる勘違いしていることを指摘しよう。
答えから先に言うと、この278milはUBSが10,000,000株を買い取るためのPricingではなく、
OptionのDelta Hedgeに伴う株の売却代金なのである。
冷静にこの契約を受ける業者の立場を考えよう。つまりここから先はUBS(業者)が主語となる。
3年のPut ShortとCall Longがある。つまりポジションとしては完全なDelta Longとなっている。ざっくり言えば
Putで25%程度のDelta Long、Callで55%程度のDelta Long、合わせて80%程度のDelta Long
なので、まず株を借りてきて、空売りする。その売却代金を、社長に前渡したに過ぎない。
3年分の貸し株料と自分たちの手数料くらいは引いたかもしれないが。
本来ならば、31.22でFloorがついているのだから、社長は、312milは最低もらえることになっているから、それを前渡すれ
ば良いだけのことである。だが、その場合、この社長の悪意により、AIGがもし明日いきなり0USDまでぶっ飛ぶと、将来に
渡るこの契約を破棄できる条項をつけていようが、頭で312milを払ってしまっているので、Put ShortのGammaのやら
れが襲ってくる。つまり20%の売り残しの分、UBSがかぶる必要があるのである。
インサイダー兼大株主とのデリバティブ契約ゆえに、随分と慎重なCash Flow管理である。
